Marvell Technology announced its intention to acquire optical components manufacturer Lumentum to capitalize on the increasing demand for connectivity driven by artificial intelligence infrastructure developments.
Marvell's Chairman and CEO, Matt Murphy, emphasized the significance of this acquisition, stating that the shift towards optical connectivity represents a once-in-a-generation opportunity. The deal, structured as a fixed ratio exchange where Lumentum shareholders will receive 4.5 Marvell shares for each share of Lumentum, is valued at an implied enterprise value of $115 billion.
This acquisition aims to integrate electrical and optical technologies to better serve the evolving connectivity needs associated with AI, particularly as companies rely more on optical connections for large language model operations. The transaction is expected to close in the first half of 2028.
Despite concerns regarding the sustainability of infrastructure spending, Marvell's move is seen as a significant commitment to AI, following its earlier acquisition of Celestial AI, which focuses on optical interconnectivity.
Marvell's market value has more than tripled over the past three years, reflecting strong investor enthusiasm for AI, while Lumentum's stock has also seen substantial gains this year. However, both companies experienced a decline in their stock prices following the announcement, with Marvell shares dropping 3% and Lumentum's stock falling about 4% before market opening
