IonQ announced on Monday that it will acquire Elisity in an all-stock transaction valued at up to $1.3 billion, which includes potential performance-based earnouts of up to $150 million. This acquisition aims to bolster IonQ's cybersecurity capabilities, particularly in safeguarding generative AI models and enterprise networks from quantum-related threats.
Niccolo de Masi, IonQ's chairman and CEO, emphasized that integrating Elisity will position the company to better protect critical infrastructure during the transition to quantum computing. The deal is expected to close in the fourth quarter, pending regulatory approval.
Following the announcement, IonQ's stock fell over 9%, reflecting investor concerns, while other quantum computing stocks also experienced declines. Elisity will maintain its leadership team, including CEO James Winebrenner. This acquisition follows IonQ's recent purchase of SkyWater Technology for $1.8 billion and several other acquisitions aimed at expanding its quantum computing portfolio.
The urgency of addressing quantum threats has been underscored by recent executive orders from President Trump, which aim to advance quantum computing research and enhance cybersecurity measures for government systems
