NextEra Energy to Acquire Dominion Energy in All-Stock Deal to Address Rising Electricity Demand for AI Data Centers

NextEra Energy has announced its acquisition of Dominion Energy in an all-stock transaction, which will create the largest regulated electric utility globally. Following the merger, NextEra shareholders will hold 74.5% of the new entity, while Dominion investors will own 25.5%. The combined company will operate under the NextEra name and use its ticker symbol on the New York Stock Exchange.

This acquisition is particularly significant as it positions the new company to meet the increasing electricity demand driven by data centers that support artificial intelligence applications. In pre-market trading, Dominion's shares rose over 15%, reflecting positive investor sentiment, while NextEra's stock remained stable.

Dominion, with a market capitalization exceeding $50 billion, is a key player in powering the data center market in Northern Virginia, which is the largest in the world. NextEra, valued at more than $190 billion, is the leading renewable energy developer in the U.S.

CEO John Ketchum emphasized the importance of scale in addressing the rapidly rising electricity demand, stating that the merger is a strategic move to enhance their capabilities. Ketchum will continue as CEO of the combined company, with Dominion's CEO Robert Blue taking charge of its regulated utilities business and joining the board.

Notably, while NextEra has been a major player in renewable energy, it has also increased its investments in natural gas and is actively involved in expanding nuclear energy in the U.S., including a partnership with Google to reopen the Duane Arnold nuclear plant in Iowa.
