EBay has rejected GameStop's $56 billion takeover bid, citing concerns over the deal's financing and asserting confidence in its own growth strategy. Following the announcement, eBay's stock traded at $107, well below the proposed offer price of $125 per share, while GameStop's shares fell by 4%. EBay's chairman, Paul Pressler, stated that the proposal was 'neither credible nor attractive' and emphasized the company's commitment to sustainable growth under its current management.

GameStop's CEO, Ryan Cohen, has indicated a willingness to pursue a hostile bid by appealing directly to eBay's shareholders, potentially calling a special meeting. Cohen claims to have secured a $20 billion debt financing commitment from TD Bank, contingent on the combined entity achieving an investment-grade rating, although Moody's has warned that the deal would be credit negative for eBay.

Cohen believes that merging the two companies could lead to cost reductions and synergies, enhancing eBay's competitiveness against Amazon. However, the proposal has faced criticism from some GameStop investors, including Michael Burry, who sold his stake, cautioning that the deal could burden GameStop with debt and dilute shareholder value.

The differing business models of eBay and GameStop—where eBay acts as a marketplace without holding inventory and GameStop operates physical retail stores—further complicate the potential merger. Cohen's recent interview on CNBC raised eyebrows, as he struggled to provide clarity on the financing of the acquisition, leading to skepticism from Wall Street regarding the feasibility of the bid.
